Incorporation of a Limited Company
Starting a company in the UK is straightforward if you have the right information prepared. We handle the full process from name checks to filing, then keep you compliant with Companies House and HMRC after incorporation.
What you need to form a company
Company name that is available and follows the naming rules
Registered office address in the UK, in the same part of the UK where the company is registered, the address must be an appropriate address, PO Boxes are not allowed
Registered email address for Companies House notices
Director details for at least one director, date of birth, service address, nationality
Shareholder details and statement of capital
SIC code to describe your business activity
People with Significant Control, PSCs, details of individuals or legal entities that own or control the company
Directors and PSC identity verification, new requirement
Identity verification is being introduced to improve the accuracy of the register.
You can verify voluntarily now using GOV.UK One Login or through an Authorised Corporate Service Provider like us
From 18 November 2025, identity verification becomes mandatory and will be phased in over the following 12 months
New directors and new PSCs will need to be verified at or shortly after appointment
Existing directors and PSCs will need to verify by their first confirmation statement after the start date
Once verified, you receive a Companies House personal code, you will be asked for this when you incorporate a company or file the confirmation statement

Registered office and email rules
The registered office must be a physical address where documents will come to the attention of a person acting for the company, and delivery can be acknowledged
You must keep a registered email address up to date, Companies House uses it to contact you, it is not shown on the public register
People with Significant Control, PSC duties
Identify your PSCs, record the details, and tell Companies House
Update PSC details within 14 days, then file the change within a further 14 days
From November 2025, companies will not need to hold certain internal statutory registers, including the PSC register, but you must still keep the information up to date at Companies House
Confirmation statement, yearly requirement
Every company must file a confirmation statement each year to confirm the public record is correct. When you file you can also update:
SIC code
Statement of capital and shareholder information
Trading status of shares
Exemption from keeping a PSC register, where relevant
You will be asked to provide your Companies House personal code once identity verification is in effect.
Accounts, accounting dates and filing
Your first accounting reference date is set automatically to the last day of the month in which the first anniversary of incorporation falls
Private companies normally file annual accounts 9 months after the end of the financial year
We prepare compliant micro, small or full accounts and file them online
HMRC registrations after incorporation
Corporation Tax, we register the company and set up online filing, tax is usually due 9 months and 1 day after the end of the accounting period, the CT600 return is normally due 12 months after the period end
PAYE payroll, if you will pay staff or directors
VAT, if your taxable turnover reaches the registration threshold or you choose to register voluntarily
